General terms and conditions of supply

1. Applicable Terms and ConditionsThese General Terms and Conditions of Sale (“GCS”) shall apply to any and all sales of products (“Products”) by Ring Mill SpA (“Seller”) to the buyer (“Buyer” – collectively “Parties”). The GCS together with Seller’s special conditions of sale contained in the purchase order duly executed for confirmation by the Seller (“Order Confirmation”) and together with such other documents, as are specifically attached thereto or incorporated therein by reference, do constitute the entire agreement between the Parties and replace, discharge and supersede any other proposal or purchase order or order confirmation conflicting therewith previously proposed by the Buyer or agreed upon by the Parties verbally or in writing. Neither the Seller’s commencement of performance, nor the delivery of the Products by the Seller, nor the failure of the Seller to expressly reject the general terms and conditions of purchase sent by the Buyer shall be deemed or construed as acceptance of any of the Buyer’s general terms and conditions. Unless otherwise expressly agreed, technical documentation, catalogues and quotations are provided for information purposes only, and Seller’s offers are not binding without the execution for unconditional acceptance by the Seller of the Order Confirmation. In case of conflict between the provisions contained in the Order Confirmation and those contained in this GCS, the provisions contained in the Order Confirmation shall prevail. The Buyer may not assign its rights or obligations arising from these GCS and from the Order Confirmation without the previous consent of the Seller. No amendment to this GCS (and, in general, to the Order Confirmation) may be made or proven other than by a written deed executed by both Parties.

2. Ordering and Buyer’s Acceptance of the Contractual Terms Shall constitute Buyer’s acceptance of the contractual terms provided herein: (a) Buyer’s signature and return to the Seller of the Order Confirmation; and/or (b) Buyer’s failure to reject the Order Confirmation signed by the Seller within three (3) working days of the receipt hereof and the exercise or attempt to exercise any rights or obligations provided under the Order Confirmation; and/or (c) Buyer’s acceptance of the Products. The prices indicated in the offer are valid for seven (7) calendar days from the date thereof, unless otherwise provided therein.

3. Transfer of Risk – Delivery – Shipment – Unless otherwise specified in writing, the transfer of risk shall pass in accordance with the applicable INCOTERMS 2020 issued by the ICC – (Delivery). Should Buyer fail to take delivery the Seller is entitled, without any prior notice to the Seller, to resell them and to claim applicable damages. Unless otherwise expressly agreed, the delivery of the Products (“Delivery”) will be EXW (Seller’s plant) according to the INCOTERMS 2020 issued by the ICC. Unless otherwise expressly agreed, Delivery terms shall not be considered as mandatory, and delays in delivery, if any, shall not entitle the Buyer to claim any damages resulting therefrom. Delays in Delivery shall only entitle the Buyer to cancel the orders concerning the Products not yet in the process of manufacturing and only after having granted the Seller with a reasonable grace period in order to remedy said delay. The delivery shall be deemed fulfilled when the Products are delivered with a tolerance of ± 5 % on weight and dimensions.

4. Retention of TitleThe Seller shall retain full title and ownership of the Products sold until the fulfilment by Buyer of its payment obligations as described below. Buyer shall have the full liability for, and shall bear all risks and costs associated with the unloading, correct handling and suitable storage of the Products and the Buyer undertakes to enter into an all risks insurance policy, at its own cost, covering also the deterioration and/or theft of all or a part of Products.

5. Acceptance – Compliance – InspectionProducts are considered to be delivered by Seller and accepted by Buyer : (a) in respect of quality: according to the Inspection Certificate issued by the Seller and accepted by the Buyer or by an Independent Surveyor, if mutually agreed in writing by the Parties prior to the Delivery; (b) in respect of quantity: according to the weight and number of unites indicated in the Bill of Landing, Railway Bill or in the CMR (International Consignment Note) or in the FCR (Forwarder Certificate of Receipt). Any delivery is subject to the accepted tolerances as to dimensions and weight indicated under Article 3. above. The Buyer shall immediately carry out an accurate inspection of the Products upon Delivery.

6. Buyer’s Quality ClaimsSeller guarantees that the Products are compliant with the quality specifications contained in the Seller’s Inspection Certificate, or if not existing, in the Order Confirmation. Buyer shall provide the Seller with: (a) any necessary information to ensure the adequate elaboration of the relevant specifications; and (b) any necessary information concerning the transformation and/or the final use of the Products. The Buyer acknowledges that the Seller’s obligation of Product’s quality compliance is fully satisfied when these specifications have been met at the time of Delivery. Within eight (8) business days after receipt of the Products (“Visible Defects Forfeiture Term”), the Buyer shall inspect the Products (“Inspection”) and shall notify in writing the Seller of any failure in design or craftsmanship resulting from a breach of or non-conformity of the Product with the relevant specifications, which can be discovered on the basis of a diligent inspection upon receipt, (“Visible Product Defects”) detailing the nature and quantity of the defective Products, as well as the nature of the relevant defect (“Visible Defects Notice of Claim”). The Buyer shall notify in writing the Seller of any hidden Product defects detailing the nature and quantity of the defective Products, as well as the nature of the relevant defect (“Hidden Defects Notice of Claim”) within five (5) business days from the discovery thereof (“Hidden Defects Forfeiture Term”). The Parties do hereby acknowledge and agree that if no Hidden Defects Notice of Claim is served by the Buyer to the Seller within 12 (twelve) months after the receipt date, each of the relevant Products shall be deemed accepted “as is” and, therefore, the Seller shall not be liable for any Hidden Product Defects with respect thereto. The notification of a Visible Defects Notice of Claim or of an Hidden Defects Notice of Claim (“Quality Claim”) shall be supported with the following information and documents in English language concerning the claimed Products: (a) copy of the Order Confirmation; (b) number of pieces and relevant weight; (c) copy of the shipping documents and packing list; (d) marking, if any, and reference number of the Products; (e) copy of a detailed description of the alleged defects drafted by an Independent Surveyor arranged at Buyer’s cost; (f) copy of the relevant Seller’s invoice. In the case the Buyer fails to notify the Quality Claims in accordance with the requirements set out under this Article 6., the Buyer will lose its rights to make the same Quality Claim. Should the Seller disagree with the content of a Quality Claim, the Seller shall be entitled to challenge the same Quality Claim within 15 (fifteen) business days from receipt of the same Quality Claim (“Disagreement Forfeiture Term”), by means of a written notice to the Buyer (“Defects Disagreement Notice”). If no Defects Disagreement Notice is received by the Buyer within the Disagreement Forfeiture Term, the Defects Notice of Claim shall be deemed to be definitively accepted by the Seller. In case a Defects Disagreement Notice is received by the Buyer within the Disagreement Forfeiture Term, the Parties shall, within 25 (twenty-five) business days following the receipt by the Purchaser of such Defects Disagreement Notice, attempt to reach an agreement on the relevant Quality Claim (“Defects Amicable Settlement”). If, within the aforementioned 25 (twenty-five) business days, no Defects Amicable Settlement has been reached, either Party may submit the settlement of the Quality Claim – or part thereof – to the competent court (“Defects Final Settlement”). Provided that: (i) the Buyer has timely served the Seller with a Quality Claim; and (ii) no Defects Disagreement Notice has been served on the Buyer within the Disagreement Forfeiture Term or a Defects Amicable Settlement has been reached or a Defects Final Settlement has been issued; the Seller undertakes to remedy the relevant Visible Product Defect and/or hidden Product defect as identified in the relevant Notice of Claim or Defects Amicable Settlement or Defects Final Settlement, as the case may be. In such a case the Seller shall, at its choice, either replace or repair the Products (or parts thereof) which result to be defective. The obligations undertaken by the Seller under this Article 6. are in-lieu-of any other legal guarantees or liability provided under any Applicable Laws in case of defective Products.

7. Buyer’s Quantity ClaimsSeller guarantees that the Products are in conformity with the weight and number of unites indicated according to Article 5.(b) above. Any claims concerning the quantity of the Products at Delivery (“Quantity Claim”) shall be notified in writing by the Buyer to the Seller before the Products undergo any further processing and in any case immediately upon discovery, but, in any event, no later than 8 (eight) business days after Delivery. The notification of Quantity Claim shall be supported with the following information and documents in English language concerning the claimed Products: (a) copy of the Order Confirmation; (b) number of pieces and relevant weight; (c) copy of the relevant shipping documents and packing list; (d) marking of the Products, if any and reference number of the Products; (e) copy of the relevant Seller’s invoice; (f) copy of the calibration certificate at the weighing machinery at the place or port of discharge, if requested by the Seller. In the case the Buyer fails to notify the Quantity Claim within the term above or not in accordance with the requirements indicated under this Article 7., the Buyer will lose its rights to make said Quantity Claims. The Buyer is not entitled to notify Quantity Claims when the deficiency claimed does not exceed a tolerance of ± 5 % on weight. If Products are considered as defective by Seller, or in case of disputes, by the Independent Surveyor, then Seller is exclusively obliged, at its sole discretion, either: (i) to replace such Products; or (ii) reimburse the price; or (iii) if the price has not already been paid by the Buyer, to reduce such price or to terminate the contract. In the case the Seller challenges the Products’ deficiencies as alleged by the Buyer under its Quantity Claim, the Parties shall mutually appoint an Independent Surveyor to make an inspection of the Products claimed. The results of such inspection shall be binding on and final for the Parties. The fees of the Independent Surveyor shall be born and paid by the losing party.

8. Seller’s Liability LimitationsSeller can only be held liable for damages caused by its gross negligence or willful misconduct duly proved and suffered by Buyer and Seller’s liability shall in any event be limited to 100% of the invoiced value of the deficient Products. Besides these damages, the Seller shall not be liable in any case, for any direct, indirect, consequential, incidental or punitive damage suffered by the Buyer or by any other person whatsoever. The Buyer undertakes not to export or re-export, directly or indirectly, any Products to any destination to which such export or re-export is restricted or prohibited under any applicable laws (including, without limitation, EU export control Regulation No. 428/2009), providing for restrictions on the export or re-export of any items which, by virtue of their nature or properties, can be used for both civil and military purposes (“Dual-Use Regulations”), without prior obtaining the necessary authorizations from the competent Authorities to the extent required by applicable laws (including Dual-Use Regulations). Buyer agrees and warrants that Seller and its representatives, distributors, suppliers and subcontractors shall be held harmless from all nuclear liability arising from the nuclear facility at which Seller’s Products shall be used, as well as from all claims, liability, loss and expense (including attorneys’ fees) occasioned by injury to, and death of any person and loss of, damage to or loss of use of any property caused by, or arising, in any manner, out of nuclear events. Such indemnification is given with respect to past, present and future sales.

9. Prices – Payment Except as may be otherwise expressly provided in Order Confirmation, prices are net cash, and Buyer shall pay all taxes and charges for transportation, import, insurance, shipping, storage, handling, bank’s charge, demurrage and similar. Payments for the Products shall be made in advance by the Buyer to the Seller by bank wire transfer to the bank account indicated by the Seller in the relevant Order Confirmation, unless otherwise agreed in the Order Confirmation. Payment for the Products shall be made in Euro. It is agreed that any complaints or objections (including, without limitation, any Defects Notice of Claim) do not entitle the Buyer to suspend or delay any payment due hereunder. Payment obligations shall be fully met by the Buyer also in the case of delay in the Delivery not due to Seller’s fault. In the event Buyer is subject to bankruptcy or insolvency proceedings, then Seller shall not be bound by the period of payment stated above: payment shall be made in cash either prior to the dispatch of Products or prior to their manufacture. In the event Buyer fails to pay on the due date, then it shall be obligated to pay, ipso jure and without prior notification: (a) interest accrued according to the rate provided by Italian Legislative Decree No. 231/2002, as subsequently amended and supplemented; and (b) liquidated damages in the amount of 10% of the total invoice amount, save for any further damages and without prejudice to any other rights of the Seller arising out of said payment failure. Any delay in the payment or in the execution of any obligations entered into by the Buyer or in case the Seller has a doubt as to Buyer’s solvency or credit worthiness and Buyer is not prepared to perform advance cash payment or provide Seller with security as requested, then the Buyer shall have the right to terminate the contract or retain that portion of the contract which it has not yet performed without the necessity of the Buyer’s consent; furthermore, all sums due which are to be paid by Buyer, even those which have not yet elapsed, will become immediately payable without notification by the Seller. All taxes, charges, levies and other fees of any kind whatsoever imposed on the purchase or import of the Products shall be for the sole account of the Buyer. Buyer shall not be entitled either to withhold payments or to proceed to any compensation even in in case of judicial proceedings. In any case of payment delay, Buyer shall not be entitled to take any disposal action which may affect the Products.

10. Packaging The Buyer shall provide at its own cost and care the disposal of the packaging materials and of the means of protection, fastening and securing used during transport of the Products and shall held the Seller harmless from any liabilities hereof. Whenever plastic supports are used for the securing of steel coils, those plastic supports remain of Seller’s property and the Buyer is obligated to return them at its own expense to Seller.

11. Force MajeureSeller shall not be liable in the case force majeure circumstances prevent or delay, in part or in whole, the manufacturing, shipment and delivery by the latter of the Products and the due fulfillment of its obligations. In this GCS “Force Majeure” means any circumstances beyond the reasonable control of the Seller.

12. IP Rights All registered and unregistered intellectual property rights relating to Seller’s Products remain the sole property of the Seller. The Buyer is not permitted to use, reproduce or pass drawings, samples, drafts, designs and similar to third parties without Seller’s previous written consent. They shall be returned to the Seller along with any potential copies or reproductions at the Seller’s simple request. If the Seller produces Products according to drawings, models or masters given to the Seller by the Buyer, the Seller shall not be liable in case of infringement of third parties’ intellectual property rights and for any claims concerning such Products. The Buyer shall also fully indemnify the Seller for any damages arising from third party claims on such respect. The Buyer shall not disclose to any person whatsoever any information relating to the Seller’s business or any of its trade secrets or make use of the same in any manner which may be prejudicial to the Seller, except where there is any legal requirement to disclose such information subject to prior information and consultation with the Seller before disclosure. The Buyer undertakes not to disassemble, reverse engineer or otherwise attempt to derive or obtain information about the functioning, manufacture or operation of the Products or use such information to replicate or cause third parties to replicate the Products. The Buyer further undertakes not to allow or cause a third party to disassemble, reverse engineer or otherwise attempt to derive or obtain information about the functioning, manufacture or operation of the Products or use such information to replicate or cause third parties to replicate the Products.

13. TerminationThe Seller shall have the right to terminate at any time the Order Confirmation in case of breach or failure by the Buyer to perform or observe any material terms and conditions thereof, provided that said breach or failure is not cured within 15 (fifteen) days from receipt of a Seller’s written request. The Seller shall also have the right to terminate the Order Confirmation with immediate effect under Art. 1456 of the Italian civil code, should any of the following events occur: (a) voluntary winding up or discontinuance of the Buyer operations; (b) any kind of insolvency procedure concerning the Buyer and including any kind of arrangements with its creditors. Termination will not affect any of the Seller’s rights accrued at the time of termination or relieve the Buyer of any obligations with respect to confidentiality and to indemnify the Seller from any direct, indirect, incidental or consequential damages, which arise out of or are in any way connected with the termination.

14. NoticesAny communication shall be made in writing and shall be considered to have been fulfilled: (a) in case of a registered letter with return receipt or courier, on the receipt thereof; (b) in case of certified e-mail, on the date of confirmation that it has been received sent, provided that such communications are addressed as follows: if to the Seller, RING MILL SPA, Via Valeriana n. 103, 23015 – Dubino (SO) – ITALY, Certified e-mail: commerciale@pec.ringmill.it; if to the Buyer, to the address indicated in the Order Confirmation.

15. Applicable Laws and JurisdictionThese GCS and all contracts entered into between the Parties shall be governed by the laws of Italy, with exclusion to its conflict of laws provisions. Any dispute that may arise out of or in relation with any orders or sale contracts entered into between the Seller and the Buyer shall be submitted to the exclusive jurisdiction of the Courts of Milan.

 

CONDIZIONI GENERALI DI VENDITA

1. Applicabilità delle Condizioni Generali di VenditaLe presenti condizioni generali di vendita (“CGV”) si applicano a tutte le vendite di prodotti (“Prodotti”) effettuate da Ring Mill SpA (“Venditore”) all’acquirente (“Acquirente” – congiuntamente, “Parti”). Le CGV, unitamente all’ordine d’acquisto debitamente sottoscritto dal Venditore per accettazione (“Conferma d’Ordine”) e ai documenti ad essa allegati o in essa incorporati per rinvio, costituiscono la disciplina integrale del rapporto tra le Parti e superano e sostituiscono, con effetto novativo, ogni altro termine o condizione con esse confliggente precedentemente proposto dall’Acquirente o concordato fra le Parti verbalmente o per iscritto. Né il principio di esecuzione del rapporto contrattuale, né la consegna dei Prodotti da parte del Venditore, né il mancato espresso rifiuto da parte del Venditore, potranno essere considerati come accettazione delle condizioni generali di acquisto trasmesse dall’Acquirente. Salvo che sia diversamente espressamente concordato, i cataloghi, i preventivi e i documenti tecnici hanno valore esclusivamente informativo e le offerte del Venditore non sono vincolanti senza la sottoscrizione da parte del Venditore in segno di incondizionata accettazione della Conferma d’Ordine. In caso di divergenza tra le disposizioni contenute nella Conferma d’Ordine e quelle di cui alle presenti CGV prevale la Conferma d’Ordine. L’Acquirente non potrà trasferire diritti o obblighi derivanti dalle presenti CGV e della Conferma d’Ordine senza il consenso scritto del Venditore. Qualsiasi modifica alle presenti CGV (e, in generale, ai termini in vigore fra le Parti) non può aver luogo e non può essere provata che mediante atto scritto sottoscritto da entrambe le Parti.

2. Procedura d’Ordine e Accettazione dei Termini ContrattualiCostituiranno accettazione da parte dell’Acquirente delle presenti CGV: (a) la sottoscrizione da parte dell’Acquirente e la consegna al Venditore della Conferma d’Ordine; e/o (b) il mancato rifiuto da parte dell’Acquirente entro 3 (tre) giorni lavorativi dal ricevimento della Conferma d’Ordine sottoscritta dal Venditore e l’esercizio o tentativo di esercizio di qualsiasi diritto od obbligo previsto nella Conferma d’Ordine; e/o (c) l’accettazione dei Prodotti da parte dell’Acquirente. I prezzi indicati in ciascuna offerta avranno una validità di 7 (sette) giorni a partire dalla data dell’offerta, salvo non sia diversamente previsto.

3. Passaggio dei Rischi – Consegna – SpedizioneSalvo accordo contrario formalizzato per iscritto, tutti i rischi relativi ai Prodotti si trasferiscono conformemente a quanto previsto dagli INCOTERMS 2020 pubblicati dalla ICC – (Consegna). Qualora l’Acquirente non ritiri i Prodotti, il Venditore avrà la facoltà, senza preavviso, di rivenderli e di agire per il ristoro dei danni eventualmente patiti. Salvo che sia diversamente espressamente concordato, la consegna dei Prodotti (“Consegna”) avverrà in modalità EXW (Stabilimento del Venditore) ai sensi degli INCOTERMS pubblicata dalla ICC. Salvo espresso accordo contrario, i termini di Consegna non sono tassativi ed eventuali ritardi nella consegna non comportano alcun diritto al risarcimento del danno per l’Acquirente. In caso di ritardi nella Consegna, l’Acquirente ha soltanto il diritto di annullare gli ordini riguardanti i Prodotti non ancora in corso di produzione solo dopo aver inviato al Venditore una formale diffida ad adempiere entro un termine ragionevole. La consegna si considera effettuata quando i Prodotti recapitati rispettano il margine di tolleranza del ± 5% sul peso o dimensione.

4. Patto di Riservato DominioI Prodotti forniti sono di proprietà del Venditore fino al completo adempimento, da parte del Acquirente, di tutte le obbligazioni di pagamento nei termini indicati. L’Acquirente si fa carico della totalità dei rischi e dei costi relativi alle operazioni di scarico, movimentazione ed adeguato stoccaggio dei Prodotti e si impegna a sottoscrivere, a sue spese, una polizza assicurativa all-risk inclusiva della copertura dei rischi di deterioramento e/o furto della totalità o di parte dei Prodotti.

5. Accettazione – Conformità – IspezioneI Prodotti si considerano come consegnati dal Venditore ed accettati dall’Acquirente: (a) in relazione alla qualità: in conformità al Certificato di Ispezione trasmesso dal Venditore ed accettato dall’Acquirente o da un Esperto Certificatore Indipendente, qualora ciò sia concordato in forma scritta tra le Parti prima della Consegna; e (b) in relazione alla quantità: in conformità al peso ed al numero di pezzi indicato nel Bill of Landing o nel Railway Bill o nel CMR (International Consignment Note) o nel FCR (Forwarder Certificate of Receipt). Le forniture sono soggette ai margini di tolleranza rispetto a dimensioni e peso indicati ai sensi dell’Articolo 3. che precede. L’Acquirente è tenuto a verificare i Prodotti attraverso una accurata ispezione immediatamente all’atto della presa in Consegna.

6. Contestazioni dell’Acquirente relative alla Qualità dei Prodotti Il Venditore garantisce che i Prodotti sono conformi alle specifiche qualitative indicate nel Certificato di Ispezione del Venditore o, se non esistente, nella Conferma d’Ordine. L’Acquirente deve fornire al Venditore: (a) tutte le informazioni necessarie al fine di assicurare la corretta elaborazione delle specifiche tecniche; e (b) tutte le informazioni riguardanti il processo di trasformazione e di uso finale dei Prodotti. L’Acquirente riconosce che le obbligazioni di conformità qualitativa dei Prodotti sono da considerarsi adempiute quando le specifiche tecniche risultano rispettate al momento della Consegna. Entro otto (8) giorni lavorativi successivi alla data di ricevimento dei Prodotti (“Termine di Decadenza per Vizi Palesi”), l’Acquirente deve ispezionare i Prodotti e deve comunicare al Venditore qualsiasi difetto di progettazione o di fabbricazione derivante da una violazione o non conformità del Prodotto rispetto alle specifiche tecniche, che possa essere scoperto sulla base di una diligente ispezione alla ricezione (“Vizio Palese”) specificando la natura e la quantità dei Prodotti difettosi, nonché la natura del relativo vizio (“Reclamo per Vizi Palesi”). L’Acquirente deve denunciare per iscritto al Venditore qualsiasi vizio occulto del Prodotto, specificando la natura e la quantità dei Prodotti viziati, nonché la natura del relativo vizio (“Reclamo per Vizi Occulti”) entro cinque (5) giorni lavorativi dalla loro scoperta (“Termine di Decadenza per Vizi Occulti”). Rimane inteso che se l’Acquirente non comunica al Venditore l’esistenza di Vizi Occulti entro (dodici) mesi dalla data di ricevimento, ciascuno dei Prodotti in questione sarà considerato accettato “così com’è” e il Venditore non sarà responsabile per eventuali i vizi occulti del Prodotto. La notifica di un Reclamo per Vizi Palesi o di un Reclamo per Vizi Occulti (ciascuno un “Reclamo sulla Qualità”) dovranno essere accompagnati dalle seguenti informazioni e documentazione, in lingua Italiana, relativa ai Prodotti contestati: (a) copia della Conferma d’Ordine; (b) numero dei pezzi e relativo peso; (c) copia di documento di trasporto e packing list; (d) timbratura, se esistente, e codice di riferimento dei Prodotti; (e) copia di una descrizione dettagliata dei vizi contestati predisposta da un Certificatore Indipendente, a spese dell’Acquirente; (f) copia della fattura del Venditore. Qualora l’Acquirente comunichi un Reclamo sulla Qualità non in conformità ai requisiti di cui al presente Articolo 6., l’Acquirente decadrà dal diritto di effettuare detto Reclamo sulla Qualità. Qualora il Venditore non sia d’accordo con il contenuto di un Reclamo sulla Qualità, il Venditore avrà il diritto di contestare lo stesso Reclamo sulla Qualità entro 15 (quindici) giorni lavorativi dal ricevimento dello stesso (“Termine di Decadenza in Caso di Disaccordo”), mediante comunicazione scritta al Acquirente (“Comunicazione di Disaccordo sui Vizi”). Se l’Acquirente non riceve la Comunicazione di Disaccordo sui Vizi entro il Termine di Decadenza in Caso di Disaccordo, il Reclamo sulla Qualità sarà considerato definitivamente accettato dal Venditore. Nel caso in cui una Comunicazione di Disaccordo sui Vizi sia ricevuta dal Acquirente entro il Termine di Decadenza in Caso di Disaccordo, le Parti, entro 25 (venticinque) giorni lavorativi dal ricevimento, tenteranno di raggiungere un accordo sul relativo Reclamo sulla Qualità (“Definizione Amichevole dei Vizi”). Se, entro i 25 (venticinque) giorni lavorativi di cui sopra, non è stata raggiunta alcuna Definizione Amichevole dei Vizi, ciascuna parte potrà sottoporre il Reclamo di Qualità – o parte di esso – all’Autorità Giudiziaria competente (“Decisione Finale sui Vizi”). A condizione che: (i) l’Acquirente abbia tempestivamente notificato al Venditore un Reclamo sulla Qualità; e (ii) nessuna Comunicazione di Disaccordo sui Vizi sia stata comunicata all’Acquirente entro il Termine di Decadenza in Caso di Disaccordo o sia stata raggiunta una Definizione Amichevole dei Vizi o sia stata emessa una Decisione Finale sui Vizi; il Venditore si impegna a porre rimedio al relativo Vizio Palese del Prodotto e/o vizio occulto del Prodotto, come indicato nel Reclamo di Qualità o nella Definizione Amichevole dei Vizi o nella Decisione Finale sui Vizi, a seconda dei casi. In tal caso il Venditore dovrà, a sua scelta, sostituire o riparare i Prodotti (o parti di essi) che risultano difettosi. Gli obblighi assunti dal Venditore ai sensi del presente Articolo 6. sostituiscono qualsiasi altra garanzia legale o responsabilità prevista dalla Legge Applicabile in caso di Prodotti viziati.

7. Contestazioni dell’Acquirente relative alla Quantità dei ProdottiIl Venditore garantisce che i Prodotti sono conformi al peso e numero di pezzi indicati all’Articolo 5.(b) che precede. Qualsiasi reclamo avente ad oggetto la quantità dei Prodotti alla Consegna (“Reclamo sulla Quantità”) dovrà essere comunicato in forma scritta dall’Acquirente al Venditore prima che i Prodotti siano sottoposti a lavorazione, immediatamente alla scoperta e in ogni caso entro e non oltre 8 (otto) giorni lavorativi dalla Consegna. La comunicazione del Reclami sulla Quantità dovrà essere accompagnata dalle seguenti informazioni e documentazione, in lingua Italiana, relativa ai Prodotti contestati: (a) copia della Conferma d’Ordine; (b) numero dei pezzi e relativo peso; (c) copia di documento di trasporto e packing list; (d) timbratura, se esistente, e codice di riferimento dei Prodotti; (e) copia della fattura del Venditore; (f) copia del documento di pesatura rilasciato da relativo macchinario, al luogo o porto di scarico, se richiesto dal Venditore. Qualora l’Acquirente non comunichi il Reclamo sulla Quantità entro il termine di cui sopra o non in conformità ai requisiti di cui al presente Articolo 7., l’Acquirente decadrà dal diritto di effettuare detto Reclamo sulla Quantità. L’Acquirente non potrà effettuare Reclami sulla Quantità quando la carenza non ecceda il margine di tolleranza del ± 5% sul peso. Se il Venditore, o, in caso di controversia, il Certificatore Indipendente, riconoscono i Prodotti come difettosi, il Venditore è esclusivamente tenuto, a sua discrezione, a: (i) sostituire i Prodotti; o (ii) rimborsarne il prezzo; o (iii) nel caso in cui l’Acquirente non abbia ancora pagato il prezzo, ridurre il suddetto prezzo o risolvere il contratto. Nel caso in cui il Venditore contesti i difetti dei Prodotti così come indicati dall’Acquirente nel relativo Reclamo sulla Quantità, le Parti nomineranno congiuntamente un Certificatore Indipendente affinché lo stesso esegua un’ispezione sui Prodotti contestati. Le risultanze di tale ispezione saranno finali e vincolanti per entrambe le Parti. Il compenso del Certificatore Indipendente sarà a carico della Parte soccombente.

8. Limiti alla Responsabilità del VenditoreIl Venditore risponde soltanto dei danni sofferti e debitamente provati dall’Acquirente provocati da suo dolo o colpa grave e, in ogni caso, entro il limite massimo pari al 100 % del valore di fattura dei Prodotti difettosi e/o non conformi. Oltre a questi, il Venditore non è responsabile per qualsiasi altro danno diretto, indiretto, consequenziale, incidentale o punitivo sofferto dall’Acquirente o da qualsiasi altro terzo. L’Acquirente si impegna a non esportare o riesportare, direttamente o indirettamente, Prodotti verso qualsiasi destinazione in cui tale esportazione o riesportazione sia limitata o vietata ai sensi di qualsiasi legge applicabile (compreso, a titolo esemplificativo, il regolamento UE n. 428/2009), che prevede restrizioni all’esportazione o alla riesportazione di Prodotti che, per loro natura o proprietà, possano essere utilizzati a fini sia civili che militari (“Disciplina in materia di Dual-Use”), senza ottenere preventivamente le autorizzazioni necessarie dalle autorità competenti, nei termini richiesti dalla legge applicabile (compresa, la Disciplina in materia di Dual-Use). L’Acquirente accetta e garantisce che il Venditore ed i suoi rappresentanti, distributori, fornitori e subappaltatori saranno tenuti indenni da ogni responsabilità in materia nucleare che possano derivare nell’ambito delle centrali nucleari presso le quali saranno usati i Prodotti, così come da qualsiasi rivendicazione, azione, responsabilità, perdita, danno e spesa (comprese le spese legali), causati da una lesione a o dalla morte di qualsiasi persona, dal danneggiamento o dalla perdita di utilizzo di qualsiasi proprietà causati da, o derivanti, in qualsiasi modo, da eventi nucleari. Tale garanzia viene concessa in considerazione di vendite passate, presenti e future.

9. Prezzi – Pagamento Salva espressa indicazione contraria, nella Conferma d’Ordine i prezzi sono al netto di tutti gli oneri relativi ad imposte e spese di trasporto, tasse all’importazione, assicurazione, spedizione, stoccaggio, handling, oneri bancari, controlli e simili, che saranno a carico dell’Acquirente. I pagamenti relativi ai Prodotti saranno effettuati in anticipo mediante bonifico bancario sul conto bancario indicato dal Venditore nella relativa Conferma d’Ordine. Il pagamento dei Prodotti sarà eseguito in Euro. È convenuto che eventuali reclami o obiezioni (inclusi Reclami sulla Qualità e Reclami sulla Quantità) non daranno diritto all’Acquirente di sospendere o ritardare qualsiasi pagamento dovuto. L’obbligo di pagamento dovrà essere tempestivamente adempito dall’Acquirente anche in caso di ritardo nella Consegna non dovuto a colpa del Venditore. Nel caso in cui l’Acquirente sia sottoposto a procedura di fallimento o ad altra procedura concorsuale, l’Acquirente decade dal beneficio del termine di pagamento ed il pagamento è dovuto in contanti prima dell’invio o prima della fabbricazione dei Prodotti. Il mancato pagamento da parte dell’Acquirente nei termini stabiliti, comporta ipso jure, e senza necessità di messa in mora, l’obbligo per l’Acquirente di corrispondere al Venditore: (a) interessi maturati al tasso previsto dal D.lgs. n. 231/2002, come successivamente modificato e integrato; nonché (b) una penale pari al 10% dell’importo totale della fattura a titolo di risarcimento dei danni, fatto salvo ogni maggior danno e ogni ulteriore diritto scaturente dall’inadempimento. In caso di ritardo nel pagamento o nell’adempimento di qualsiasi obbligazione a carico dell’Acquirente o qualora il Venditore abbia motivo di dubitare della solvibilità e della credibilità finanziaria dell’Acquirente, e l’Acquirente non intenda pagare anticipatamente oppure fornire al Venditore le garanzie richieste, al Venditore è riconosciuto il diritto di risolvere il contratto o di non eseguire la parte del contratto non ancora eseguita, senza necessità di consenso dell’Acquirente; inoltre, diventeranno immediatamente esigibili tutti i pagamenti non ancora scaduti, senza necessità di messa in mora. Imposte, oneri e tasse di qualsivoglia tipo relative all’acquisto o all’importazione dei Prodotti saranno a carico esclusivo dell’Acquirente. L’Acquirente non può sospendere i pagamenti, né procedere ad alcuna compensazione, anche in caso di azioni giudiziarie. In caso di mora nel pagamento, l’Acquirente non può porre in essere alcun atto di disposizione dei Prodotti.

10. Imballaggio L’Acquirente dovrà provvedere a propria cura e spese allo smaltimento dei materiali dell’imballaggio e degli elementi di protezione, sicurezza e fissaggio da utilizzarsi nelle operazioni di trasporto dei Prodotti, manlevando l’Acquirente da qualsiasi responsabilità al riguardo. Nel caso vengano impiegati supporti di plastica per il fissaggio delle bobine d’acciaio, il Venditore ne conserverà la proprietà e l’Acquirente sarà tenuto a restituirle al Venditore a proprie spese.

11. Forza MaggioreIl Venditore è esente da qualsiasi tipo di responsabilità nel caso in cui cause di Forza Maggiore compromettano o ritardino, totalmente o parzialmente, la fabbricazione, spedizione e consegna, da parte sua dei Prodotti e il regolare adempimento delle sue obbligazioni contrattuali. Per “Forza Maggiore” si intende qualsiasi circostanza al di là del ragionevole controllo del Venditore.

12. Diritti di Proprietà Intellettuale Tutti i diritti di proprietà intellettuale, sia registrati che non registrati, relativi ai Prodotti resteranno di esclusiva proprietà del Venditore. All’Acquirente non è consentito usare, riprodurre o trasferire a parti terze le schede tecniche, i prototipi, le bozze, i disegni e simili senza il previo consenso scritto del Venditore. Detto materiale dovrà essere restituito al Venditore insieme a qualsiasi sua possibile copia o riproduzione su semplice richiesta del Venditore. Se il Venditore produce prodotti in conformità a schede tecniche, modelli o prototipi forniti al Venditore dall’Acquirente questi è esonerato da qualsiasi responsabilità in caso di eventuale violazione dei diritti di proprietà intellettuale di parti terze e per qualsiasi eventuale contestazioni da questi Prodotti derivanti. L’Acquirente manterrà integralmente indenne il Venditore per i danni ad esso derivanti dalle contestazioni di parti terze a tale proposito. L’Acquirente non dovrà rivelare ad alcun soggetto terzo qualsiasi informazione relativa all’attività o ai segreti industriali del Venditore od utilizzare i medesimi in modo tale da poter pregiudicare in qualsiasi modo il Venditore, salvo che ci sia un qualsiasi obbligo di legge di divulgare tali informazioni e comunque previa informazione del Venditore e consultazione con il medesimo prima della divulgazione. L’Acquirente si impegna a non disassemblare, decodificare o altrimenti tentare di ricavare o ottenere informazioni sul funzionamento, la fabbricazione o l’operatività dei Prodotti e a non utilizzare tali informazioni per replicare o far replicare i Prodotti. L’Acquirente si impegna inoltre a non permettere o a far sì che terzi effettuino lo smontaggio o il reverse engineering o altrimenti ricavino o ottengano informazioni sul funzionamento, la fabbricazione o l’operatività dei Prodotti e utilizzino tali informazioni per replicare o far replicare i Prodotti.

13. RisoluzioneIl Venditore ha il diritto di risolvere in qualsiasi momento la Conferma d’Ordine in caso di avvenuta violazione od inadempimento sostanziale da parte dell’Acquirente, qualora a dette violazioni o inadempimenti non venga posto rimedio dall’Acquirente entro e non oltre il termine di 15 (quindici) giorni dalla richiesta scritta del Venditore. Il Venditore avrà peraltro il diritto di risolvere con effetto immediato la Conferma d’Ordine ai sensi dell’Art. 1456 del Codice Civile, qualora si verifichi uno dei seguenti eventi: (a) liquidazione volontaria o interruzione dell’attività dell’Acquirente; o (b) avveramento di qualsiasi ipotesi di insolvenza o di procedura fallimentare relativa all’Acquirente, incluso qualsiasi genere di accordo con i suoi creditori. L’avvenuta risoluzione non comprometterà alcuno dei diritti acquisiti dal Venditore al momento della risoluzione, né solleverà l’Acquirente dall’adempimento dei suoi obblighi in materia di confidenzialità, né dal suo dovere di indennizzare il Venditore per qualsiasi danno diretto, indiretto, incidentale o conseguenziale che possa derivare da o in qualunque modo essere connesso con la stessa risoluzione.

14. ComunicazioniQualsiasi comunicazione sarà eseguita per iscritto e si intenderà validamente effettuata: (a) in caso di lettera raccomandata A/R o corriere, al ricevimento della stessa; (b) in caso di messaggio di posta elettronica certificata alla data di conferma dell’avvenuto ricevimento; sempre che tali comunicazioni siano indirizzate come segue: al Venditore, RING MILL S.P.A., Via Valeriana n. 103, 23015 – Dubino (SO) – ITALIA, PEC: commerciale@pec.ringmill.it; all’Acquirente, conformemente ai dati indicati nella Conferma d’Ordine.

15. Giurisdizione e Legge ApplicabileLe presenti CGV e tutti i contratti sottoscritti tra le Parti sono soggette alla legge Italiana, con espressa esclusione delle disposizioni in materia di conflitto di Leggi. Qualsiasi controversia che possa derivare o che sia relativa a qualsiasi ordine o contratto sottoscritto tra il Venditore e l’Acquirente sarà soggetta alla esclusiva giurisdizione Italiana presso il Foro di Milano.
